Terms of Service

Version 2026-10-28.2 · Effective Oct 28, 2026

1. About these terms

GrantAssembly is a grant-management portal for nonprofits and the people who write grants for them. It is built and run by Altivica, a sole proprietorship based in California ("Altivica", "we", "us"). These Terms of Service ("terms") apply when you or the organization you represent ("you") use the portal at portal.grantassembly.com, our website at grantassembly.com, or any email or other service we provide with them (together, "GrantAssembly" or "the service").

  • When you create an account, you're asked to tick a box agreeing to these terms and our Privacy Policy. By ticking it, or by using the service, you accept these terms. If you don't agree, don't use the service.
  • If you accept for an organization, you confirm that you have authority to bind it, and "you" means that organization.
  • You must be at least 18 years old. GrantAssembly is a tool for organizations and the professionals who work with them, not for personal, family or household use.
  • If we change these terms, we may ask you to agree again when you next sign in (see section 16).

2. Your account

  • You sign in through Amazon Cognito, a sign-in service from Amazon Web Services. Keep your password private, and tell us right away at support@grantassembly.com if you think someone else has used your account.
  • Give us accurate information and keep it up to date.
  • You are responsible for everything done under your account, including by anyone you let use it, and for the clients you add and the documents you upload.

3. Free trial, plans and automatic renewal

  • Plans. GrantAssembly is a paid subscription. Plans, prices and what each plan includes are listed on our pricing page, in US dollars. The Starter plan is limited to a set number of active clients; the Professional plan includes more features. Prices don't include taxes, which we may add where the law requires.
  • Free trial. A new account starts with a 14-day free trial of the Professional plan. You don't need a payment method to start it, and we won't charge you during it. If you haven't added a payment method when the trial ends, your account is paused until you choose a plan. If you add a payment method during the trial, your paid subscription starts when the trial ends and you'll be charged then, unless you cancel before the trial ends. Each organization gets one free trial.
  • Automatic renewal. Your subscription renews automatically every month, and continues until you cancel. We charge the payment method on file on the same day each month as your subscription started, at the price of your plan at that time, plus any tax. If you change plans, the next charge is adjusted for the rest of that month.
  • How to cancel. You can cancel at any time online, in Account settings, under Billing, with no need to call or email us. You can also cancel by emailing support@grantassembly.com. Cancellation takes effect at the end of the month you've already paid for; you keep access until then and won't be charged again.
  • Confirmation. After you subscribe, we or Stripe will send you an email confirming your plan, its price, that it renews automatically, and how to cancel.
  • Price changes. We'll tell you by email at least 30 days before a price change takes effect for you. If you don't want to pay the new price, you can cancel before it takes effect.
  • Payments. Payments are handled by our payment processor, Stripe. We never see or store your full card or bank details. You authorize us, through Stripe, to charge your payment method for each renewal until you cancel.
  • Failed payments. If a payment fails, you keep access for 7 days while you update your payment method. After that, your account is paused until payment is made. Your content is kept while your account is paused.
  • Refunds. We don't give partial refunds for unused time in a month, except where the law requires it. If you were charged in error, email support@grantassembly.com within 30 days and we'll refund that charge in full.

4. Your content

  • You keep ownership of everything you put into GrantAssembly: client details, grant notes, drafts, documents and the rest ("your content").
  • You give us a limited, non-exclusive permission to host, store, copy, process, transmit and display your content only as needed to provide, secure and support the service for you, for example to show a document preview, match grants to your clients or send you a deadline email. This permission ends when your content is deleted from the service, except for copies we must keep by law.
  • You confirm that you have the rights and permissions needed to put your content into GrantAssembly and to let us use it as these terms describe.
  • Don't upload Social Security numbers, payment card numbers, bank account numbers, health or medical records, or other highly sensitive personal information. The service isn't built for that kind of data, and you upload it at your own risk.
  • Keep your own copies of important documents. You can download your documents from the portal at any time while your account is open or paused.

5. Information about your clients

Your clients are your clients. When you add information about a client organization or the people at it, you decide what to add and why, and you are responsible for having the right to share it with us, including any notice or consent the law requires. We use that information only to provide the service to you, as described in our Privacy Policy. If someone asks us about information you entered about them, we may refer them to you.

6. Grant information, scores and AI features

  • Grant listings and funder details come from public sources such as Grants.gov, IRS Form 990 filings and the California Grants Portal, and from information we gather from funders' own websites. This information can be incomplete, out of date or wrong.
  • Fit scores, matches, readiness checks, Go/No-Go scores and recommendations are estimates to help you decide. They are not legal, tax, financial or professional advice.
  • Some features use artificial intelligence to write summaries, suggestions or prompts. These are drafting aids. They do not replace your own judgment or review, and their output can be wrong, incomplete or not original. Check it before you rely on it.
  • You are responsible for everything you submit to a funder, including its accuracy, its originality, and whether it follows the funder's rules on AI use and disclosure. Features that mark AI-assisted text, log AI use, scan for AI rules or suggest a disclosure statement are aids only. They can miss things, and they do not tell you what a funder requires.
  • GrantAssembly does not guarantee any outcome. Section 12 applies to any application that is rejected, withdrawn or penalized because of how AI output or these features were used.
  • Features that help you copy a prompt into an AI tool of your choice send nothing to that tool themselves. If you paste content into another service, that service's terms apply, not ours.
  • Always confirm deadlines, eligibility and requirements with the funder before you apply. You are responsible for your applications and what you submit. GrantAssembly does not guarantee that any application will be funded or that any grant is a good fit.

7. Acceptable use

Don't use GrantAssembly to, or try to:

  • break any law, or anyone else's rights, including privacy and intellectual property rights;
  • upload malware, or anything meant to harm the service, its users or anyone else;
  • get into accounts, systems or data that aren't yours, or test the service's security without our written permission;
  • scrape, crawl, copy, resell, sublicense or redistribute the service or its data in bulk, or use them to build a competing product;
  • copy, change or reverse engineer the service's software, except where the law allows it;
  • overload the service, or get around its limits, plan limits or security;
  • share your account with people outside your organization, or let others use your trial or plan in ways it isn't meant for;
  • send spam, or upload content that is unlawful, deceptive, harassing or defamatory.

8. Our service and our rights

  • GrantAssembly, including its software, design, text, compiled data, scores and brand, belongs to Altivica and its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service for your organization's own work while your account is active. We keep all other rights.
  • If you send us ideas or feedback, we may use them freely, without paying you or owing you anything.
  • We may count and combine information across all accounts into totals that don't identify you, your organization, your clients or any one account, such as the number of grants awarded to our customers, and use and share those totals. See our Privacy Policy.
  • We may add, change or remove features, and we may change plan limits for future billing periods. If a change takes away a feature you are paying for, we'll tell you first, and you can cancel.
  • The service depends on other companies' services, such as Amazon Web Services, Microsoft Azure and Stripe, and on public data sources. We aren't responsible for their outages, changes or errors.

9. Availability

We work to keep GrantAssembly running and your data safe, but we can't promise it will always be available, uninterrupted, secure or free of errors. We may pause the service for maintenance, security or reasons outside our control.

10. Suspension and ending your use

  • You can stop using GrantAssembly and cancel your subscription at any time (see section 3). You can ask us to delete your account and content by emailing support@grantassembly.com.
  • We may suspend or close your account, or limit access to the service, if you break these terms, don't pay, put the service, other users or the public at risk, or if the law requires it. When we reasonably can, we'll tell you first and give you a chance to fix the problem or download your content.
  • We may stop offering GrantAssembly altogether. If we do, we'll give you at least 30 days' notice, time to download your content, and a refund of any amount you paid for time after the service ends.
  • Sections 4 (the confirmations you give), 5, 6, 8, 11, 12, 13, 14, 15 and 17, and any amounts you owe, continue after your use ends.

11. Disclaimer of warranties

To the fullest extent the law allows, GrantAssembly and all information in it are provided "as is" and "as available". Altivica makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and that the service will be uninterrupted, secure or free of errors. Some states don't allow some of these exclusions, so some may not apply to you.

12. Limitation of liability

To the fullest extent the law allows:

  • Altivica is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost funding or grants, missed deadlines, lost data or business interruption, even if we were told they were possible.
  • Altivica's total liability for all claims about GrantAssembly or these terms is limited to the greater of the amount you paid us for the service in the 12 months before the event that caused the claim, or $100.

These limits are part of the price you pay, and apply whatever the legal theory of the claim. They do not limit liability for our fraud, our willful injury to a person or property, our gross negligence, or our violation of law, or any other liability that California law (including Civil Code section 1668) does not allow to be limited.

13. Indemnity

You will defend and pay for claims brought against Altivica by a third party, and the losses, damages and reasonable legal fees that result, to the extent they arise from your content, the information you enter about your clients or others, your applications, or your breach of these terms or of the law. We'll tell you promptly about any such claim, let you control its defense (though you may not settle it in a way that admits fault for us or binds us without our consent), and give you reasonable help at your cost.

14. Disputes

  • Talk to us first. If you have a problem with GrantAssembly, email support@grantassembly.com and describe it. Most issues can be fixed that way. Before filing a claim, each of us agrees to try in good faith to resolve the dispute informally for at least 30 days after written notice.
  • Small claims. Either of us may bring a qualifying claim in small claims court.
  • Courts. Otherwise, any dispute about GrantAssembly or these terms will be decided only by the state or federal courts located in the county in California where Altivica has its principal place of business, and each of us consents to those courts' jurisdiction and venue. Either of us may still ask any court for an order to stop infringement or misuse of the service or of intellectual property.
  • Time limit. To the extent the law allows, a claim must be filed within one year after it arises, or it is barred.

15. Governing law

These terms, and any dispute about GrantAssembly, are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-law rules.

16. Changes to these terms

We may update these terms. If a change is material, we'll tell you by email or in the portal at least 30 days before it takes effect, except where a change is needed sooner for legal or security reasons. We may ask you to agree to the new terms when you next sign in. If you don't agree, you can cancel before the change takes effect. Continuing to use the service after a change takes effect means you accept it. Changes won't apply to a dispute that arose before the change. Each version of these terms has a version date at the top, and we keep a record of which version you agreed to and when.

17. General

  • Entire agreement. These terms, the Privacy Policy and the plan details on our pricing page are the whole agreement between you and Altivica about GrantAssembly, and replace any earlier understandings about it.
  • Severability. If a court finds any part of these terms unenforceable, that part will be limited or removed only as much as needed, and the rest stays in effect.
  • No waiver. If we don't enforce a part of these terms, that doesn't mean we give up the right to enforce it later.
  • Assignment. You may not transfer these terms or your account without our written consent. We may transfer them as part of a sale, merger or reorganization of Altivica or GrantAssembly, and these terms will still apply.
  • Events outside our control. We aren't responsible for delays or failures caused by events outside our reasonable control, such as outages of our providers, internet failures, natural disasters or government action.
  • Electronic notices. You agree that we may give you notices, agreements and other communications by email or in the portal, and that these satisfy any legal requirement that they be in writing. Notices to us go to support@grantassembly.com.
  • Relationship. These terms don't create a partnership, employment or agency relationship, and give no rights to anyone other than you and Altivica.
  • California notice. Under California Civil Code section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs can be reached in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
